Early Access Program – Terms and Conditions 


Background 

  1. MYOB has offered you an opportunity to participate in an Early Access Program to give you an exclusive first look at the new Attachments on Sales Documents.   
  2. You have agreed to participate in the Early Access Program in accordance with these Term.

1. Eligibility

  1. You must receive an invitation from MYOB in order to participate in the Early Access Program. 
  2. You acknowledge and agree that: 

    (i) these Terms govern: 
      1. your participation in the Early Access Program; and 
      2. use of our Products,

        and you agree to be bound by these Terms;
         
      (ii) any use of our Products remains subject to the relevant product terms of use; and 
    1. (ii) any use of Online Payments remains subject to the MYOB Invoicing Service terms and conditions.
  3. If there is any inconsistency between these Terms and the product terms of use, the Product terms of use will prevail. If there is any inconsistency between these Terms and the MYOB Invoicing Service terms and conditions, the MYOB Invoicing Service terms and conditions will prevail. 

2. Term

Subject to clause 7, the Early Access Program will commence on 15 September 2025 continue for up to 70 days, or until the new features are made publicly or commercially available. 

3. Fees

(a) You will not be required to pay additional fees to access any new features we introduce as part of the Early Access Program. 


(b) For the duration of the Early Access Program, you will still be expected to pay:

(i) the base subscription fees listed on our website for the Products (less any discount we have agreed to provide you with); and 

(ii) any additional fees and charges listed on our website for premium features you elect to use, such as payroll, premium inventory or Online Payments. 

4. Your obligations

(a) You must comply with any reasonable directions we give you in relation to your participation in the Early Access Program or use of our Products, including new features we introduce. 

(b) You acknowledge and agree that:

(i) we will collect, hold, use and disclose personal information in accordance with our Privacy Policy and applicable law;

(ii) you have received appropriate consents to disclose any information (including personal information) that you provide to us (for example, in relation to your employees, suppliers or customers); and

(iii) we may disclose your information to our service providers.

(c) You must keep all details about the Early Access Program and new Product features we introduce strictly confidential throughout the duration of your participation in the program and for a period of 180 days after your participation in the program ends, unless:  

(i) you receive prior written approval from us; or

(ii) the features are made publicly or commercially available.  


These confidentiality obligations are in addition to confidentiality obligations set out in the product terms of use or in any non-disclosure agreement you have signed with us.

(d) We may request feedback from you during the Early Access Program. We want to understand what you think of the quality, usability and performance of our Products, including any new features we introduce, and any defects or bugs you experience. You grant us a perpetual, worldwide, non-exclusive, irrevocable, royalty free licence to use and exploit the feedback you give us for any purpose, including developing, improving or promoting our products and services. You warrant that you have the necessary rights to grant us this licence.

(e) The Products, including any new features we introduce, may contain bugs, errors or other defects, or disrupt access to, or cause loss of or corruption of your data. You should back up your data files in case they cannot be restored 

(f) You acknowledge and agree that we do not have an obligation to provide patches or updates to fix specific errors or bugs during the Early Access Program. 

(g) Please contact our Support team for priority support during the Early Access Program.  

5. Your right to use new Product features during the Early Access Program

(a) Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable licence to use new Product features we introduce for the duration of your participation in the Early Access Program. You do not have the right to sub-licence our Products or assign your rights under the Early Access Program to any third party. 

(b) The licence granted to you under clause 5(a) does not extend to any future version of the Products which become publicly or commercially available. We do not have an obligation to make new Product features publicly or commercially available. 

(c) We own all intellectual property generated in the course of your participation the Early Access Program. We also own all legal right, title and interest in our Products. The licence granted to you under clause 5(a) does not grant you any express or implied rights to the patents, trademarks or other intellectual property relating to the Products

 6. Suspension and termination of the Early Access Program

(a) You may discontinue your participation in the Early Access Program or your use of the Products for any reason at any time, by giving us written notice. 

(b) We may suspend the Early Access Program or your use of new features for any reason at any time, by giving you written notice. 

(c) If you do not comply with these Terms, including without limitation, clause 3(b), clause 4(a), clause 4(b)(ii) or clause 4(c), we may terminate your participation in the Early Access Program and your use of new Product features immediately by giving you written notice. 

7. What happens when your participation in the Early Access Program ends

After termination of your participation in the Early Access Program:

(a) you are still bound by the confidentiality obligations in:

(i) clause 4(c);

(ii)  the product terms of use; and

(iii) the MYOB Invoicing Service terms and conditions; and

(b) any limitations on liability which apply under the relevant product terms of use or the MYOB Invoicing Service terms and conditions continue after termination of your participation in the Early Access Program.

8. Limitation on liability

You acknowledge and agree that any limitations on liability which apply under the relevant product terms of use or the MYOB Invoicing Service terms and conditions apply to the Early Access Program and your use of our Products, including any new features. 

9. Changes to these Terms

(a) We reserve the right to vary or modify these Terms by giving you at least 14 days written notice.

(b) If we make changes to these Terms under clause 9(a), you have a right to terminate your participation in the Early Access Program before the changes take effect. 

10. General

(a) Where we are required to give you written notice under these Terms, we can give notice either via email or in-product notification.

(b) These Terms, and the documents incorporated by reference, supersede any previous written agreements between us in connection with the Early Access Program. 

(c) If any part of these Terms is void or unenforceable for any reason, then it will be severed to the extent that it is void or unenforceable. The validity or enforceability of the remainder of the Terms will not be affected. 

(d) If a party does not insist on strict performance of any part of these Terms, that waiver will not be deemed to be a waiver of a subsequent breach of these Terms. 

(e) If you reside in New Zealand, or your business is registered in New Zealand, these Terms are governed by the laws in force in New Zealand and the parties submit to the non-exclusive jurisdiction of the courts of New Zealand. Otherwise, these Terms are governed by the laws in force in the state of Victoria, Australia and the parties submit to the non-exclusive jurisdiction of the courts of the state of Victoria, Australia 

11. Definitions

The following expressions have the following meanings:

  • Early Access Program means the Early Access Program for use of our Products as governed by these Terms. 
  • Online Payments means  any and all of the services, features and functionality comprising the product ‘Online Payments’ or ‘MYOB Invoicing Service’ which we make available for use with our base Product. You will need to accept the MYOB Invoicing Service terms and conditions to use Online Payments. 
  • Product means any and all of the services, features and functionality comprising the ‘MYOB Business Lite’ or ‘MYOB Business Pro’ product, or any online file for the ‘MYOB AccountRight Plus’ or ‘MYOB AccountRight Premier’ product which we make available from time to time. This includes any specific base product and any new features we introduce, as well as any companion apps, data feeds or premium features like payroll, premium inventory or Online Payments. 
  • Terms the means and terms and conditions set out in this document.
  • We, us and our means:
    • MYOB NZ Limited (Company no. 902338) of 801/50 Albert Street, Auckland Central, Auckland, 1010, New Zealand (if you reside in New Zealand or your business is registered in New Zealand); or 
    • MYOB Australia Pty Ltd (ABN 13 086 760 198) of Level 3, 168 Cremorne Street, Cremorne, VIC 3121 (in any other case).  
  • You or your means you as a subscriber or user of our Product and participant in the Early Access Program.
